Terms for using accrulynx.com, and how they relate to professional engagements.

These Terms of Service (“Terms”) govern your access to and use of accrulynx.com and related materials on this site. By using the site, you agree to these Terms. If you do not agree, do not use the website.

Who we are

AccruLynx is a professional services practice offering accounting, assurance support, advisory, tax, and business services outsourcing. References to “AccruLynx,” “we,” or “us” mean the AccruLynx practice operating this website and related client work.

What these Terms cover

These Terms apply to your use of the website, including browsing, downloading or sharing pages for ordinary reference, and submitting inquiries through the contact form or related inquiry channels on this site.

They do not by themselves create a client relationship or set the scope of professional work. Paid or scoped professional services are governed by a separate engagement letter, statement of work, or other written agreement once executed.

What these Terms do not cover

These Terms do not govern websites, apps, marketplaces, social networks, or other services we do not operate—even if you reach us through them or follow a link from our site. Those services have their own terms.

If you hire or message AccruLynx through a third-party platform, that platform’s terms also apply to your use of that platform.

Eligibility and authority

The website is intended for business and professional audiences. By using it, you represent that you have legal capacity to agree to these Terms. If you use the site on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

Website content is informational

Content on this website—including service descriptions, articles, FAQs, examples, and process descriptions—is for general information only. It is not professional advice tailored to your facts, and it is not a substitute for an engagement with AccruLynx or another qualified advisor.

Browsing the site, submitting an inquiry, or having an introductory conversation does not create a client, advisory, assurance, or other professional relationship, and does not make AccruLynx your agent.

Professional services and engagement documents

Any professional work AccruLynx performs is governed by a separate engagement letter, statement of work, or other written agreement. That document defines scope, fees, deliverables, timelines, responsibilities, limitations, and (where stated) liability.

Website inquiries, proposals, demo conversations, and informal discussions do not expand scope beyond what is later agreed in writing.

Where an engagement document addresses a specific matter and conflicts with or is more specific than these Terms, that document controls for that matter. These Terms continue to apply to your use of the website.

If work requires a licensed sign-off, registered agent, statutory filing role, or other third party, that party’s role and responsibility are as described in the engagement materials—not assumed from marketing copy on this site.

No guaranteed outcomes

We do not guarantee specific financial results, filing outcomes, audit opinions, tax positions, regulatory approvals, acceptance by third parties, or timelines unless expressly stated in a signed engagement agreement. Professional judgments and third-party decisions—including those of tax authorities, regulators, auditors, banks, counterparties, and platforms—are outside our sole control.

Your responsibilities

You agree to use the site lawfully and to provide accurate information in inquiries. You are responsible for information you choose to submit and for obtaining any permission needed before sharing someone else’s information.

You are responsible for your own devices, network, and credentials used to access the site.

Acceptable use

You agree not to:

This does not transfer ownership of your confidential business information beyond what is needed for those purposes, and engagement confidentiality terms (when executed) control for client work.

You represent that you have the right to submit the content and that doing so does not violate law or third-party rights.

Intellectual property

Unless otherwise noted, AccruLynx owns or licenses the branding, text, design, and other materials on this site. AccruLynx names and marks are reserved. You may view and share pages for ordinary personal or internal business reference. You may not remove branding, or use our marks in a way that suggests endorsement or partnership without prior written permission.

Feedback

If you send ideas, suggestions, or feedback about the website or our services, you agree we may use them without restriction or compensation, and without any obligation to you.

Site availability and changes

We may modify, suspend, or discontinue any part of the website at any time without notice. The site may be unavailable due to maintenance, outages, or factors outside our control. We do not promise uninterrupted or error-free access.

Suspension of access

We may suspend or block access to the site or inquiry channels if we believe use violates these Terms, creates risk, or involves abuse. We are not liable for suspension taken in good faith to protect the site or others.

Third-party services and links

The site may rely on third-party infrastructure and may link to external sites. We are not responsible for third-party content, availability, security, or privacy practices. Third-party services are governed by their own terms and privacy policies.

Disclaimer of warranties

The website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, AccruLynx disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the site will be accurate, complete, current, secure, or free of errors, viruses, or interruptions.

Limitation of liability

To the fullest extent permitted by law, AccruLynx and its founders, personnel, and service providers are not liable for indirect, incidental, special, consequential, punitive, exemplary, or similar damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from use of the website, reliance on site content, inability to use the site, or submissions you send—including issues arising from third-party services, platforms, or transmission over the internet—whether based on contract, tort, or any other theory, even if advised of the possibility.

To the fullest extent permitted by law, AccruLynx’s total aggregate liability arising out of or relating to website use under these Terms will not exceed the amounts you paid AccruLynx specifically for access to the website in the twelve months before the claim (if any). The website is generally provided without a separate access fee.

Liability for professional services, if any, is governed solely by the applicable engagement agreement—not by these website Terms. Nothing in these Terms expands that liability. Where liability cannot be excluded, it is limited to the maximum extent allowed by law.

Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless AccruLynx and its founders and personnel from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the site, your violation of these Terms, or your submission of content that is unlawful or infringes third-party rights—except to the extent caused by AccruLynx’s willful misconduct where such limitation is not permitted by law.

Children

The website is not directed to children. Do not use the site if you are not of legal age to agree to these Terms.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a reorganization, merger, sale, or transfer of assets or operations. These Terms bind permitted successors and assigns.

Severability, waiver, and entire agreement

If a provision of these Terms is held unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any additional notices on the site that expressly reference them, are the entire agreement between you and AccruLynx regarding website use, and supersede prior discussions on that subject. Engagement agreements are separate contracts for professional work.

Governing law and disputes

These Terms are governed by the laws applicable to AccruLynx’s place of business, without regard to conflict-of-law rules. Disputes arising from these Terms or use of the website are subject to the courts of that jurisdiction, unless a signed engagement agreement specifies otherwise for that engagement.

Nothing in this section limits either party from seeking urgent injunctive or similar relief to protect intellectual property or confidential information where available.

Changes

We may update these Terms from time to time. The “Last updated” date at the top of this page shows the latest revision. Continued use of the site after a change means you accept the updated Terms. If you do not agree, stop using the website.
